Seedly General Lucky Draw Terms and Conditions – Seedly

These General Lucky Draw Terms and Conditions (the “Lucky Draw Terms”) apply to lucky draws organized and conducted by Seedly Pte. Ltd. (“Seedly”) and should be read in conjunction with any specific terms and conditions applicable to a Seedly lucky draw as may set out in a separate document referencing these Lucky Draw Terms (“Specific Terms”).

Participants in a Seedly lucky draw should carefully read the Specific Terms of the lucky draw. Specific Terms include important information such as the lucky draw promotion period, eligibility criteria, lucky draw prizes, conduct of the lucky draw and prize fulfillment process. In the event of any inconsistency between any Specific Terms and these Lucky Draw Terms, the Specific Terms will prevail to the extent required to resolve the inconsistency.

1. Eligibility to Win Lucky Draw Prizes

Subject to any Specific Terms applicable to a Seedly lucky draw, the following general terms shall apply to participants:

To be eligible to participate in a Seedly lucky draw, a participant must be a Resident of Singapore. “Resident of Singapore” includes Singaporeans, Permanent Residents and foreigners holding Employment Passes, S Passes and work permits.
The following people are not eligible to participate in any Seedly lucky draw: (i) permanent and/or contract employees of Seedly, and (ii) employees of any agencies and/or service providers engaged by Seedly (including but not limited to advertising agencies, printing companies, event management agencies and any persons assisting or who are involved in the applicable lucky draw).
Seedly reserves the right to disqualify a participant from participating in a Seedly lucky draw if he/she is not a Resident of Singapore or falls under one of categories stated in clauses 1(a) and (b) above.
Each participant who meets all applicable terms and conditions (including Specific Terms) of the eligibility criteria for a Seedly lucky draw (an “Eligible Participant”) and enters the draw, may only win a maximum of one (1) prize in the applicable Seedly lucky draw. If Seedly becomes aware of a single Eligible Participant is redeeming or attempting to redeem multiple prizes in the applicable Seedly lucky draw, the Eligible Participant will only receive one (1) prize even if the Eligible Participant has two separate entries selected as winning entries.
Seedly reserves the right to draw a replacement winner in the event that an Eligible Participant has more than one valid entry selected as a winning entry or is otherwise subsequently disqualified.
For the avoidance of doubt, participation in one Seedly lucky draw does not preclude Eligible Participants (including prize winners) from receiving any other rewards offered by Seedly or its affiliates outside of that particular Seedly lucky draw.
Seedly reserves the right to (i) conduct know-your-customer, sanctions and other due diligence checks on any selected lucky winner for the purposes of complying with Seedly’s internal anti-money laundering policies and procedures and applicable laws, and (ii) select an alternative lucky draw winner if Seedly reasonably believes that distribution of a lucky draw prize to such Winner would be in breach of Seedly’s anti-money laundering policy or any applicable laws.

2. Prize Fulfilment Terms

Where applicable, winners of a Seedly lucky draw will be notified via email or other contact details provided to Seedly (as applicable) within seven (7) days after the end date of the lucky draw entry period (as stated in the applicable Specific Terms) to arrange for the relevant prize to be given to the winner. Prize winners will not be contacted further if delivery of any email or message is unsuccessful, regardless of the reason, including if an incorrect email address or phone number was provided by the winner.
Seedly reserves the right to reject any Seedly lucky draw prize collection or redemption (and draw a new winner or otherwise dispose of the relevant lucky draw prize as it sees fit) if a participant is found to have failed to satisfy any relevant terms for the lucky draw, is fraudulent, against the spirit of the lucky draw, or non-compliant with these Lucky Draw Terms, or Seedly is unable to do so in order to comply with applicable laws and regulations. In the event of disputes, Seedly’s decision shall be final.
Any Seedly lucky draw prize(s) not claimed more than two (2) months after announcement of the winners shall be forfeited without any liability on the part of Seedly to the participants, and the unclaimed prizes may be used by Seedly for future marketing or promotional offers related to Seedly’s business activities. Any lucky draw winner whose prize has been forfeited shall not be entitled to any payment or compensation in lieu from Seedly.
Where a lucky draw prize is available in multiple colours or other cosmetic variations, winners will not be able to select a colour and will receive one at random.
Winners of any Seedly lucky draw agree and acknowledge that (i) the lucky draw prizes may not include any warranty and (ii) Seedly does not guarantee any applicable warranty period for any lucky draw prizes. To the extent that a supplier warranty applies to the lucky draw prizes, the warranty period may commence from the date of purchase of the lucky draw prizes by Seedly from the supplier, and not the date of redemption or delivery of the relevant lucky draw prize to the winner.
Seedly is not associated with the provider of any lucky draw prize(s) and is not responsible for any issues related to the usage of the lucky draw prize(s). Any enquires regarding the lucky draw prize(s) should be directed to the provider/manufacturer of the lucky draw prize.
Lucky draw prizes are subject to availability. Seedly reserves the final right to change the lucky draw prizes without prior notice and reserves the right to replace any lucky draw prize with alternatives of similar value.
By accepting any lucky draw prize, Seedly lucky draw winners agree to hold harmless, defend and indemnify Seedly from and against all claims, demands, liability, damages or causes of action or losses, with respect to or arising out of or related to the lucky draw prize.

3. General Terms

All queries/disputes relating to a Seedly lucky draw should be directed to Seedly. Neither Seedly nor any third party (including any banks, insurers or other third parties with whom Seedly has a business relationship) shall be responsible for any loss or damage suffered by an Eligible Participant in connection with any Seedly lucky draw and/or the lucky draw prizes.
By participating in this Lucky Draw, Eligible Participants agree to be bound by these Lucky Draw Terms, any Specific Terms of a lucky draw, Seedly’s Terms of Use (is applicable) and Seedly’s Privacy Statement.
Seedly lucky draw winners agree and consent to allow their names and likenesses in the form of images or photographs to be used for publicity reasons. Seedly reserves the rights to publish photograph(s) and/or statements from the winners without further compensation except where prohibited by law.
In the event of any disputes, Seedly reserves the right to make the final decision in its absolute discretion, which shall be binding on all participants.
Seedly reserves the right to amend these Lucky Draw Terms and/or any Specific Terms at any time, including changing the lucky draw period or lucky draw prize or date of the lucky draw if launch of a Seedly lucky draw is delayed or to terminate any Seedly lucky draw with or without prior notice or reason and shall have no liability for the same.
Seedly lucky draw prizes are not replaceable, refundable nor exchangeable for cash or other rewards. All products and services relating to a lucky draw are available while stock lasts. Eligible Participants are responsible for checking the quality of the lucky draw prizes at the time of collection or redemption. Seedly shall have no liability relating to any aspects of the lucky draw prizes including but not limited to their quality, supply, delivery and maintenance.
By participating in a Seedy lucky draw, participants hereby represent and warrant that they will comply with all applicable Singapore laws or regulations in connection with their participation in the lucky draw and they will not use the lucky draw for any illegal or fraudulent purposes. Where Seedly suspects a participant is participating in any form of unlawful activity or fraud, Seedly reserves the right to report such activity or suspicions to the police or relevant authorities.
Seedly reserves the right to (at its own discretion) disqualify any participant and withhold or confiscate in full or part, any lucky draw prize(s) if the participant is found to be, or reasonably suspected of participating in any form of fraudulent practices (including but not limited to false identities, doctoring images, willful spamming or manipulation of any Seedly's processes, or website).
By agreeing to the terms and conditions of any Seedly lucky draw, each participant agrees and consents to: (i) receiving communications from Seedly via email and/or verified mobile number, including but not limited to SMS and calls, (ii) receiving direct marketing including personal finance news and exclusive offers by email and other electronic means from Seedly and its affiliates, and (iii) Seedly sending information provided by the participant to Seedly (which may include personal information such as contact details) to third parties, including but not limited to service providers, Seedly event exhibitors, prize suppliers publicity, and other Seedly lucky draw promotion partners (“Lucky Draw Partners”) to facilitate the participant’s participation in the lucky draw and redemption of the lucky draw prize (if applicable), and (iv) Lucky Draw Partners disclosing to Seedly the required information relating to whether the participant has fulfilled all the conditions required to receive a lucky draw prize for the purposes of verifying a participant’s eligibility for a lucky draw prize, all subject to and in accordance with the terms of Seedly’s Privacy Statement.
Seedly accepts no responsibility for any damage, loss, liabilities, injury or disappointment incurred or suffered by Eligible Participants as a result of their participation in a Seedly lucky draw, including circumstances which may limit an Eligible Participant’s ability to participate in the relevant lucky draw(including but not limited to technical hardware or software failures of any kind, lost or unavailable network connections or failed, incomplete, garbled or delayed electronic transmission or any force majeure event). By participating in a lucky draw, Eligible Participants release Seedly, its affiliates and its agents from all liability, including, without limitation, with respect to the lucky draw promotion and the lucky draw prize.
Any trademarks, graphic symbols, logos or intellectual property contained in any materials used in connection with the promotion of a Seedly lucky draw are the property of their respective owners (with the exception that, as between a participant and Seedly, all intellectual property rights in any documents, images or photos submitted as part of a lucky draw will become the property of Seedly and can be used by Seedly in its absolute discretion). Seedly is not providing any financial advice, endorsements or sponsorships to its products or services.
Seedly, its affiliates and Lucky Draw Partners shall not be responsible or liable for any claims of loss or damage including loss of business, revenue or profits, or any indirect or consequential loss whatsoever, arising out of or in connection with a participant’s participation in a Seedly lucky draw.
By participating in a Seedly lucky draw, all participants agree and undertake to, at all times, indemnify, keep indemnified, and hold Seedly, its employees and agents harmless against all losses (including direct, indirect, incidental and/or consequential losses), damages (including general, special, and/or punitive damages), demands, injuries (other than personal injury caused by Seedly), claims, costs, penalties, interest and fees (including all legal fees as between solicitor and client or otherwise on a full indemnity basis whether or not incurred in respect of any real, anticipated, or threatened legal proceedings), howsoever caused by, arising or resulting from, whether directly or indirectly, their participation in the lucky draw, acceptance or usage of any lucky draw prize, and/or any breach or purported breach of these Lucky Draw Terms, applicable Specific Terms and/or any applicable law.
Notwithstanding any promotion of a Seedly lucky draw on any of Seedly’s social media channels, by entering a Seedly lucky draw, participants agree to a complete liability release of the third parties that own and/or operate the social media channels and acknowledge that Seedly lucky draws are in no way sponsored, endorsed, administered by or associated with such third parties.
Failure by Seedly to exercise any of its right or remedy under these Lucky Draw Terms and/or applicable Specific Terms does not constitute a waiver of that right or remedy.
No content herein shall be considered an offer, solicitation or recommendation for the purchase or sale of securities, futures, or other investment products. These Lucky Draw Terms and applicable Specific Terms are governed by and to be construed in accordance with, the laws of Singapore. Each participant submits to the exclusive jurisdiction of the courts in Singapore.
